Wholesale Terms

Wholesale accounts are available to registered businesses with a valid resale licence, retail storefront, gift shop, florist, garden centre, or equivalent commercial operation. We reserve the right to approve or decline any wholesale application at our discretion.

By placing a wholesale order you confirm that you are purchasing for resale purposes only and that you hold all applicable licences required in your jurisdiction.

The following minimums apply to all wholesale orders:

Orders that do not meet the minimum per-SKU quantity or minimum order value may be declined or subject to a small-order surcharge. Contact us prior to ordering if you have questions about a specific SKU or configuration.

Wholesale pricing is provided upon approval of your account and is exclusive to registered wholesale partners. Pricing is tiered based on order volume and is subject to change with reasonable notice.

• Standard tier: 12–47 units per SKU
• Mid-volume tier: 48–99 units per SKU
• High-volume tier: 100+ units per SKU

Tier-specific pricing details are shared directly with approved partners. All prices are listed in USD and exclude applicable taxes and shipping unless otherwise stated in your wholesale agreement.

Payment is due in full at the time of order unless a net terms arrangement has been agreed in writing with Mechanical Botanicals, Inc. We accept major credit/debit cards, ACH bank transfer, and other methods as communicated to approved accounts.

For accounts with approved net terms, invoices are due within the agreed period from the date of invoice. Late payments may incur interest at a rate of 1.5% per month on the outstanding balance and may result in suspension of your wholesale account.

Wholesale orders are shipped to the address on file for your account. Shipping costs are calculated at checkout or invoiced separately for freight shipments. For large or recurring orders, freight arrangements can be coordinated directly with our team.

Title and risk of loss transfer to the buyer upon handover to the carrier. We are not responsible for delays, damage, or loss in transit once the order has been dispatched. We recommend that wholesale partners carry appropriate cargo insurance for large orders.

All wholesale sales are considered final. We do not accept returns for change-of-mind or slow-moving inventory. Exceptions are made only in the following cases:

• Items received in a damaged or defective condition
• Items shipped incorrectly (wrong SKU or quantity)
• Items that do not match their product description at time of order

Claims for damaged or incorrect items must be submitted within 5 business days of delivery, accompanied by photographic evidence. Claims submitted after this window may not be accepted. Approved claims will be resolved by replacement, credit, or refund at our discretion.

Wholesale partners are authorised to resell Mechanical Botanicals products through approved retail channels only, including physical storefronts and approved online marketplaces. Resale on third-party platforms (e.g. Amazon, eBay, Etsy) requires our prior written approval.

Partners must present products in a manner consistent with our brand standards. Unauthorised modification, repackaging, or rebranding of our products is strictly prohibited. We reserve the right to provide and update brand guidelines at any time, and partners are expected to comply within a reasonable timeframe.

The ToolUps for Men™ trademark and all associated intellectual property remain the exclusive property of Mechanical Botanicals, Inc.

Co-branded and white-label packaging options are available to qualifying wholesale partners on a case-by-case basis. Custom orders are subject to separate pricing, lead times, and minimum quantities agreed in writing prior to production.

Custom orders are non-cancellable and non-refundable once production has commenced. A deposit of up to 50% of the order value may be required before production begins.

We reserve the right to suspend or terminate a wholesale account at any time for reasons including, but not limited to:

• Breach of these Wholesale Terms or our general Terms of Service
• Non-payment or repeated late payment
• Misrepresentation of business type or resale intent
• Unauthorised resale channels or brand misuse

Upon termination, any outstanding balances become immediately due and payable. Pending orders may be cancelled at our discretion with a full refund of any prepaid amounts.

Wholesale pricing, discount structures, and any proprietary business information shared with you as part of our wholesale programme are strictly confidential. You agree not to disclose this information to any third party without our prior written consent.

These Wholesale Terms shall be governed by the laws of the United States. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the United States.

We reserve the right to amend these Wholesale Terms at any time. Changes will be communicated to active wholesale accounts via email with reasonable notice. Continued ordering after changes take effect constitutes acceptance of the updated terms.
